These Terms of Use are binding on all Members of the WORLDSMEHUB AI SOLUTIONS LTD Platform. By accessing the platform you agree to these Terms.

1General Provisions

WORLDSMEHUB AI SOLUTIONS LTD is a digital B2B platform enabling SMEs to make joint purchases, build commercial relationships and benefit from various business development tools.

To access the platform and use its services, you must accept the Terms & Conditions and these Terms of Use. The platform may update these Terms; changes will be notified 7 days in advance.

2Platform Use Rules

2.1 Account Responsibility: Each Member may open only one account. Multiple accounts are prohibited. An account may only be used by its registered owner.

2.2 Accuracy Obligation: Members are responsible for ensuring that all platform content — including listings, quotes, product information and company profiles — is accurate and up to date. Misleading information is strictly prohibited.

2.3 Commercial Conduct: Members are required to act in good faith. Submitting quotes without intent to fulfil, providing false prices, or similar conduct may result in account suspension.

2.4 Access Restriction: The platform may temporarily restrict access without prior notice in the event of suspected abuse.

3Product & Service Listings

Supplier Members may create product and service listings. The following rules apply to all listings:

Prices must be stated inclusive of applicable taxes
Product images must accurately represent the actual product
Stock information must be kept current
Delivery times must be stated realistically
Registered trademarks may not be used without authorisation
Prohibited or counterfeit products may not be listed
Incorrect category selection is not permitted
Duplicate listings of the same product are prohibited

Listings that violate these rules may be removed without warning.

4Cluster Purchasing Rules

Important: By joining a cluster you are making a binding commitment. The following rules apply to all Cluster Members.

4.1 Cluster Commitment: A Member who joins a cluster agrees to the purchase commitment at the stated terms once the cluster reaches its target quantity.

4.2 Payment Obligation: When a cluster reaches its target quantity, participating Members are obliged to make payment at the stated price. Failure to do so may trigger the platform's dispute resolution process.

4.3 Cluster Organiser Responsibilities: The Member who creates a cluster is obliged to provide participants with accurate and complete information. Creating misleading clusters is strictly prohibited.

4.4 Price Tiers: Cluster price tiers are determined by participation quantity and are clearly stated in the listing. Prices are fixed.

4.5 Cancellation Conditions: If the target quantity is not reached, the cluster is automatically cancelled. If payment has been made, the refund process is initiated within 5 business days.

5Escrow Payment System

5.1 How It Works: The Buyer makes payment into the Platform's secure escrow account. The payment is released to the Supplier only after the Buyer confirms delivery.

5.2 Delivery Confirmation: After receiving the goods, the Buyer must confirm delivery within 3 business days. If confirmation is not provided, an automatic confirmation process is triggered.

5.3 Dispute: In the event of a delivery issue, the Platform's dispute resolution process is initiated. The escrow payment is held until the process is concluded.

5.4 Platform Commission: Transactions processed through the escrow system are subject to a commission at the rate specified in the Platform's fee schedule.

6Prohibited Content & Conduct

The following products and activities are strictly prohibited on the Platform:

Weapons, ammunition and explosives
Narcotics and psychotropic substances
Counterfeit, imitation or contraband goods
Stolen goods or services
Illegal software and digital content
Human trafficking or organ trade
Fraud and phishing activities
Content containing hate speech
Software that disrupts platform systems
Unauthorised collection of members' personal data

7Member Disputes

Disputes between Members should first be resolved through direct negotiation between the parties. Where this is not possible, the Platform may facilitate a mediation process. The Platform is not a party to contractual disputes between Members, but may assist in process management to support safe trading.

8Limitation of Liability

The Platform provides technology infrastructure only and is not a party to commercial relationships between Members.

The Platform cannot be held directly liable for product quality, delivery, Member conduct or transaction outcomes.

In any event, the Platform's total liability shall not exceed the platform service fees paid by the Member in the preceding 12 months.

9Service Changes

The Platform reserves the right to update, modify or discontinue its services, features or pricing. Significant changes will be notified to Members 30 days in advance.

10Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the Republic of Turkey. The Istanbul Courts shall have exclusive jurisdiction. These Terms have been prepared in accordance with the Electronic Commerce Regulation Act (No. 6563), the Turkish Commercial Code and related legislation.
